The service, Mialink.ai (the “Service”), is a copyrighted work owned by [Mialink legal entity name] (“Company,” “we,” “us,” “our”). The Service includes the mialink.ai website (the “Site”) and any related applications, tools, software, integrations, and services made available by the Company.
Certain features may be subject to additional guidelines, terms, or rules (“Supplemental Terms”), which will be posted in connection with those features. All Supplemental Terms are incorporated by reference into these Terms of Use (these “Terms”).
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY YOU REPRESENT) AND YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO DO SO. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
IMPORTANT DISPUTE NOTICE: Section 10.2 contains provisions about dispute resolution, including binding arbitration and a class action waiver, unless prohibited by law or you opt out (if offered).
1. ACCOUNTS
1.1 Account Creation
To use certain features, you must create an account (“Account”) and provide accurate information. You agree to maintain and promptly update your information.
1.2 Account Responsibilities
You are responsible for safeguarding your login credentials and for all activities under your Account. Notify us immediately at support@mialink.ai
if you suspect unauthorized use.
1.3 Business Use / Authority
If you use the Service on behalf of a business (for example, to answer calls for your company), you represent that you are authorized to bind that business to these Terms.
2. SUBSCRIPTIONS, BILLING, TRIALS
2.1 Paid Plans
Some features require a paid subscription (“Subscription”). Fees, plan limits, and included features are described on the Site or in your order form.
2.2 Auto-Renewal
Unless otherwise stated, Subscriptions auto-renew at the end of each billing period until cancelled.
2.3 Cancellation
You may cancel by contacting support@mialink.ai
or through your billing portal (if available). Cancellation takes effect at the end of your current paid period. Fees already paid are non-refundable, except where required by law or explicitly stated in writing by the Company.
2.4 Payment Information
You must provide valid payment details. If automatic billing fails, we may issue an invoice and require payment within the timeframe stated to avoid suspension.
2.5 Price Changes
We may change pricing or plan features. Any change applies after your current billing period ends, and we will provide reasonable notice when required.
2.6 Trials / Promotions
Trials and promotions may be offered at our discretion and may require a payment method. Unless you cancel before the trial ends, your plan converts into a paid Subscription.
3. ACCESS TO THE SERVICE
3.1 License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.
3.2 Restrictions
You agree not to:
Sell, resell, rent, lease, sublicense, distribute, or otherwise commercially exploit the Service without written permission
Reverse engineer, decompile, disassemble, or attempt to derive source code
Use the Service to build or benchmark a competitive product
Scrape, crawl, or harvest data except as allowed by robots.txt or written authorization
Interfere with security, availability, or performance of the Service
3.3 Modifications
We may modify, suspend, or discontinue parts of the Service at any time. We’ll try to be reasonable, but you agree we aren’t liable for changes to features or availability.
3.4 Ownership
We own all rights in the Service, including software, branding, UI, workflows, models, and documentation, except for your User Content (defined below).
3.5 Feedback
If you give feedback, you grant us permission to use it without restriction and without compensation.
4. CALLING, MESSAGING, AND COMPLIANCE (VERY IMPORTANT)
Mialink.ai may handle inbound and/or outbound voice calls, SMS, and chat interactions on your behalf. Because communication laws vary by location and industry, you agree to the following:
4.1 Your Responsibility for Legal Compliance
You are solely responsible for ensuring your use of the Service complies with all applicable laws and regulations, including but not limited to:
Call recording laws (one-party vs. two-party consent)
TCPA / telemarketing rules and local equivalents
Do Not Call rules and consent requirements
SMS/MMS consent and opt-out handling
Industry-specific rules (e.g., healthcare, finance, insurance, education)
We provide tooling; you own the compliance.
4.2 Call Recording
If call recording is enabled or used, you represent and warrant that you will provide any required notices and obtain legally valid consent from call participants.
4.3 Text Messaging
If you use the Service to send texts, you must ensure you have required consent. You must also honor opt-out keywords such as STOP and comply with carrier requirements.
4.4 No Emergency Services
The Service is not designed for emergency use. Do not use it for 911/ambulance/fire/police or emergency dispatch workflows.
5. USER CONTENT AND CUSTOMER DATA
5.1 User Content
“User Content” includes any data you provide or use with the Service: scripts, FAQs, prompts, call flows, customer messages, contact info, lead data, recordings, transcripts, CRM fields, and integration data.
You represent that you have all rights and permissions needed to provide User Content and that it does not violate any law or third-party rights.
5.2 License to Operate the Service
You grant us a limited license to host, process, transmit, and display User Content solely to provide, secure, maintain, and improve the Service, and as otherwise described in our Privacy Policy.
5.3 Sensitive Data
Unless expressly agreed in writing, you should not upload or process highly sensitive data (e.g., government IDs, full card numbers, medical records) through the Service. If you do, you accept increased risk and responsibility.
5.4 Data Retention
We may retain logs, recordings, transcripts, and metadata for a period necessary to operate the Service, comply with law, enforce these Terms, and resolve disputes, subject to our Privacy Policy and your plan settings.
6. ACCEPTABLE USE POLICY
You agree not to use the Service to:
Violate laws or third-party rights
Send spam, scams, phishing, or misleading communications
Harass, abuse, or threaten others
Distribute malware or attempt to breach systems
Impersonate another person or entity unlawfully
Generate or distribute content that is illegal, exploitative, or hateful
We may suspend or terminate accounts for violations.
7. THIRD-PARTY SERVICES AND INTEGRATIONS
The Service may integrate with third-party tools (CRMs, calendars, phone providers, analytics). Your use of those services is governed by their terms and policies. We are not responsible for third-party services, outages, or data practices outside our control.
8. TERM AND TERMINATION
These Terms remain in effect while you use the Service. We may suspend or terminate access:
for violations of these Terms
for nonpayment
to protect the Service, users, or legal compliance
as otherwise required or permitted by law
Upon termination, your right to use the Service ends immediately. Some provisions survive termination (including payment obligations, IP, disclaimers, limitation of liability, dispute terms).
9. DISCLAIMERS
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
AI Output Disclaimer
Because the Service uses AI, outputs may be incorrect, incomplete, or inappropriate. You are responsible for reviewing outputs before relying on them. We do not guarantee results, including lead volume, conversion rates, appointments booked, or revenue impact.
10. LIMITATION OF LIABILITY; DISPUTES; GENERAL
10.1 Limitation of Liability
To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, or business interruption.
To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid to us in the 3 months preceding the event giving rise to the claim, or $50, whichever is greater, unless your order form states otherwise.
Some jurisdictions don’t allow certain limitations; in those places, limits apply to the extent permitted by law.
10.2 Dispute Resolution / Arbitration (Optional but Common)
